More attractive
Connected records. Repeated work. Expert decisions. Difficult exceptions. Clear outcomes. Workable rights and a practical path to prepare the asset.
Less attractive
Disconnected files. Generic information. Thin histories. Simple workflows. Missing outcomes. Unclear provenance or records that cannot be recovered at a reasonable cost.
Rights affect value.
Exclusivity, sublicensing, defined use, retention, derivative rights, affiliate scope, refreshes, warranties, indemnities, liability, deletion and audit all change the economics. The highest headline payment is not automatically the best transaction.
A practical fit screen asks whether there is a valuable workflow, meaningful expert judgment, connected inputs, decisions and outcomes, difficult cases and corrections, sufficient scale, difficult-to-reproduce history, workable rights, recoverable records and current buyer demand. It is a screening guide, not a valuation.
A practical buyer-evaluation framework
Buyers may look for workflow depth, real-world context, observable outcomes, usable volume, consistency and quality, uniqueness, and technical usability. They may also assess whether records are linkable across a workflow and whether rights, privacy, recovery, and secure access are feasible. Diligence can fail when history is fragmented, context is missing, quality cannot be established, rights are unclear, or a proposed use cannot be supported. These are evaluation questions, not evidence of demand or value.
Comparison example: a large but disconnected export can be less useful than a smaller record set that links actions, context, and outcomes. The right comparison depends on the use case and the rights that can actually be granted.
